These Terms of Service govern your access to and use of the Verrazzi website, Interview Prep AI, and related Verrazzi services. By accessing or using the Services, you agree to these Terms.

1. Scope of the Services

These Terms apply to verrazzi.com, interviewprep.verrazzi.com, related subdomains, legal pages, content, forms, accounts, software features, AI-assisted tools, and any other services operated by Verrazzi LLC (collectively, the 'Services').

The Services currently include a public-facing website and a private-beta application, Interview Prep AI, that helps users analyze resumes, job descriptions, candidate fit, and interview preparation materials.

2. Eligibility and Account Access

You must be at least 18 years old to use the Services.

Certain features require an account. You agree to provide accurate information, keep your credentials confidential, and remain responsible for activity under your account.

Access to Interview Prep AI may be limited, gated, suspended, or revoked at Verrazzi's discretion, including during beta testing.

3. Allowed Use

You may use the Services only for lawful purposes and only in accordance with these Terms.

You may use Interview Prep AI to review resumes, job descriptions, hiring materials, interview preparation workflows, and related candidate-employer matching content, subject to these Terms and any usage limits we apply.

4. AI-Assisted Features

Some Services use artificial intelligence to extract document text, score fit, generate interview questions, summarize content, suggest improvements, or produce other automated outputs.

At this time, OpenAI is the primary AI provider used for production AI processing.

AI outputs may be incomplete, inaccurate, or misleading. You are solely responsible for reviewing and evaluating all outputs before relying on them.

5. No Professional Advice

The Services are provided for informational and educational purposes only. They do not constitute legal, medical, financial, hiring, recruiting, employment, or other licensed professional advice.

You are responsible for your own decisions and for obtaining professional advice where needed.

6. Employment Outcomes Disclaimer

Verrazzi and Interview Prep AI do not guarantee interviews, callbacks, job offers, hiring decisions, placements, compensation changes, or any other employment outcome.

Employment decisions are made by employers and are affected by many factors outside our control.

7. User Content

You may submit or upload content such as resumes, CVs, job descriptions, candidate lists, interview materials, and related text or files ('User Content').

You retain ownership of your User Content, but you grant Verrazzi a limited, non-exclusive right to host, store, copy, process, transmit, and analyze that content as necessary to operate, secure, and improve the Services.

You represent and warrant that you have the rights and permissions necessary to submit the User Content and that doing so does not violate law or third-party rights.

8. Beta Access, Limits, and Availability

Interview Prep AI is currently operated as a limited-access beta product. Features, limits, workflows, outputs, provider configurations, and availability may change at any time without notice.

We may impose per-user usage limits, approval requirements, admin controls, or other restrictions to protect service stability and manage beta operations.

9. Prohibited Conduct

You may not use the Services to do any of the following:

  • Violate any law, regulation, or third-party right
  • Upload malicious code, malware, or harmful files
  • Attempt unauthorized access to systems, accounts, or data
  • Interfere with the operation, security, or stability of the Services
  • Use the Services to harass, discriminate against, threaten, or harm others
  • Use AI outputs to create fraudulent, deceptive, or unlawful materials
  • Upload content you do not have the right to use or disclose
  • Scrape, copy, reverse engineer, or exploit the Services beyond permitted use

10. Analytics and Monitoring

We may monitor service usage, security events, account activity, operational metrics, and product interactions. This may include analytics technologies such as Google Analytics and PostHog.

You agree that we may use this information to operate, secure, troubleshoot, and improve the Services.

11. Third-Party Services

The Services rely on third-party providers, which may include hosting, database, storage, authentication, email, analytics, and AI processing providers.

We are not responsible for outages, failures, or policy changes caused by third-party providers.

12. Intellectual Property

The Services, including site content, software, branding, design, workflows, and underlying materials, are owned by Verrazzi LLC or its licensors and are protected by applicable intellectual property laws.

Except as expressly allowed by these Terms, you may not copy, distribute, modify, reverse engineer, or create derivative works from the Services.

13. Termination and Suspension

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk, abused the Services, or if continued access is no longer appropriate for business, operational, or legal reasons.

14. Disclaimers

The Services are provided 'as is' and 'as available' without warranties of any kind, express or implied, to the fullest extent permitted by law.

We do not guarantee uninterrupted availability, error-free operation, perfect security, or the accuracy or completeness of outputs, content, or recommendations.

15. Limitation of Liability

To the fullest extent permitted by law, Verrazzi LLC and its affiliates, personnel, contractors, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to your use of the Services.

If liability cannot be fully excluded, it will be limited to the maximum extent permitted by law.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after an update means the revised Terms will apply going forward.

1. Informational and Educational Use Only

Verrazzi provides informational, educational, and workflow-support tools. Nothing on the Services is a promise of outcomes or a substitute for your own judgment.

2. No Professional Advice

The Services do not provide legal, medical, mental health, financial, accounting, recruiting, hiring, HR, or career-placement advice.

Any decisions you make based on the Services are your responsibility.

3. AI Output Disclaimer

Interview Prep AI and related features may generate scores, summaries, suggestions, match assessments, interview questions, rewrite ideas, and other outputs using automated systems.

Those outputs may be incorrect, incomplete, stale, biased, oversimplified, or not suitable for your specific situation.

4. No Employment Guarantee

Verrazzi does not guarantee that use of the Services will lead to interviews, callbacks, job offers, hires, promotions, better applicant ranking, improved recruiting performance, or any other employment-related result.

5. User Responsibility

You are responsible for reviewing all uploaded content, generated outputs, and recommendations before using, sharing, or relying on them.

You are also responsible for making sure you have the right to use and submit any documents or information you upload.

6. Third-Party Services and Links

The Services may rely on or link to third-party tools, providers, platforms, or websites. We do not control those third parties and are not responsible for their content, availability, or practices.

7. Availability and Beta Limitations

Some features are beta features. They may change, break, be removed, or behave unpredictably. We do not guarantee uptime, continuity, compatibility, or retention of any specific feature set.

8. As-Is Disclaimer

The Services are provided 'as is' and 'as available' without warranties of any kind, to the fullest extent permitted by law.

EULA

End User License Agreement (EULA)

This End User License Agreement governs your use of Verrazzi software, including the Interview Prep AI application and related software components made available by Verrazzi LLC.

1. License Grant

Subject to your compliance with this Agreement, Verrazzi grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the software solely for its intended purpose.

2. Ownership

The software is licensed, not sold. Verrazzi and its licensors retain all right, title, and interest in the software and related intellectual property.

3. Permitted Use

You may use the software to access authorized Verrazzi features, including account-based interview-preparation and candidate-analysis workflows, subject to any plan, beta, admin, or usage restrictions we impose.

4. Restrictions

You may not:

  • Copy, reproduce, distribute, or resell the software except as expressly allowed
  • Modify, reverse engineer, decompile, or attempt to extract source code
  • Circumvent access restrictions, quotas, security controls, or beta gates
  • Use the software to build or support a competing service
  • Use the software for unlawful, harmful, fraudulent, or abusive purposes

5. User Content and Processing

The software may allow you to upload, store, and process resumes, job descriptions, candidate data, and other materials. You grant Verrazzi the limited rights necessary to host, process, analyze, and transmit that content for service operation and improvement.

6. AI Processing

The software may use OpenAI and related infrastructure to process inputs and generate outputs. Generated outputs may be inaccurate or incomplete, and you remain responsible for how you use them.

7. Suspension and Termination

Verrazzi may suspend or terminate your license and access at any time if you violate this Agreement, misuse the software, create risk, or if the product or beta program changes.

8. No Warranties

The software is provided 'as is' and 'as available' without warranties of any kind, express or implied, to the fullest extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, Verrazzi will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of data, profits, revenue, or business opportunity arising out of or related to use of the software.

10. Governing Law
