Verrazzi LLC – Terms of Service

These Terms of Service govern your access to and use of the Verrazzi website, Interview Prep AI, and related Verrazzi services. By accessing or using the Services, you agree to these Terms.

1. Scope of the Services

These Terms apply to verrazzi.com, interviewprep.verrazzi.com, related subdomains, legal pages, content, forms, accounts, software features, AI-assisted tools, and any other services operated by Verrazzi LLC (collectively, the 'Services').

The Services currently include a public-facing website and a private-beta application, Interview Prep AI, that helps users analyze resumes, job descriptions, candidate fit, and interview preparation materials.

2. Eligibility and Account Access

You must be at least 18 years old to use the Services.

Certain features require an account. You agree to provide accurate information, keep your credentials confidential, and remain responsible for activity under your account.

Access to Interview Prep AI may be limited, gated, suspended, or revoked at Verrazzi's discretion, including during beta testing.

3. Allowed Use

You may use the Services only for lawful purposes and only in accordance with these Terms.

You may use Interview Prep AI to review resumes, job descriptions, hiring materials, interview preparation workflows, and related candidate-employer matching content, subject to these Terms and any usage limits we apply.

4. AI-Assisted Features

Some Services use artificial intelligence to extract document text, score fit, generate interview questions, summarize content, suggest improvements, or produce other automated outputs.

At this time, OpenAI is the primary AI provider used for production AI processing.

AI outputs may be incomplete, inaccurate, or misleading. You are solely responsible for reviewing and evaluating all outputs before relying on them.

5. No Professional Advice

The Services are provided for informational and educational purposes only. They do not constitute legal, medical, financial, hiring, recruiting, employment, or other licensed professional advice.

You are responsible for your own decisions and for obtaining professional advice where needed.

6. Employment Outcomes Disclaimer

Verrazzi and Interview Prep AI do not guarantee interviews, callbacks, job offers, hiring decisions, placements, compensation changes, or any other employment outcome.

Employment decisions are made by employers and are affected by many factors outside our control.

7. User Content

You may submit or upload content such as resumes, CVs, job descriptions, candidate lists, interview materials, and related text or files ('User Content').

You retain ownership of your User Content, but you grant Verrazzi a limited, non-exclusive right to host, store, copy, process, transmit, and analyze that content as necessary to operate, secure, and improve the Services.

You represent and warrant that you have the rights and permissions necessary to submit the User Content and that doing so does not violate law or third-party rights.

8. Beta Access, Limits, and Availability

Interview Prep AI is currently operated as a limited-access beta product. Features, limits, workflows, outputs, provider configurations, and availability may change at any time without notice.

We may impose per-user usage limits, approval requirements, admin controls, or other restrictions to protect service stability and manage beta operations.

9. Prohibited Conduct

You may not use the Services to do any of the following:

Violate any law, regulation, or third-party right
Upload malicious code, malware, or harmful files
Attempt unauthorized access to systems, accounts, or data
Interfere with the operation, security, or stability of the Services
Use the Services to harass, discriminate against, threaten, or harm others
Use AI outputs to create fraudulent, deceptive, or unlawful materials
Upload content you do not have the right to use or disclose
Scrape, copy, reverse engineer, or exploit the Services beyond permitted use

10. Analytics and Monitoring

We may monitor service usage, security events, account activity, operational metrics, and product interactions. This may include analytics technologies such as Google Analytics and PostHog.

You agree that we may use this information to operate, secure, troubleshoot, and improve the Services.

11. Third-Party Services

The Services rely on third-party providers, which may include hosting, database, storage, authentication, email, analytics, and AI processing providers.

We are not responsible for outages, failures, or policy changes caused by third-party providers.

12. Intellectual Property

The Services, including site content, software, branding, design, workflows, and underlying materials, are owned by Verrazzi LLC or its licensors and are protected by applicable intellectual property laws.

Except as expressly allowed by these Terms, you may not copy, distribute, modify, reverse engineer, or create derivative works from the Services.

13. Termination and Suspension

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk, abused the Services, or if continued access is no longer appropriate for business, operational, or legal reasons.

14. Disclaimers

The Services are provided 'as is' and 'as available' without warranties of any kind, express or implied, to the fullest extent permitted by law.

We do not guarantee uninterrupted availability, error-free operation, perfect security, or the accuracy or completeness of outputs, content, or recommendations.

15. Limitation of Liability

To the fullest extent permitted by law, Verrazzi LLC and its affiliates, personnel, contractors, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to your use of the Services.

If liability cannot be fully excluded, it will be limited to the maximum extent permitted by law.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after an update means the revised Terms will apply going forward.

This Privacy Policy explains how Verrazzi LLC ("Verrazzi," "we," "us," or "our") collects, uses, stores, and shares personal information when you use verrazzi.com, interviewprep.verrazzi.com, and any related pages, subdomains, applications, products, digital downloads, AI-powered tools, communications, and services we operate (collectively, the "Services").

If you do not agree with this Privacy Policy, please do not use the Services.

1. Who we are

Verrazzi LLC operates a public brand and marketing website and related digital products, including Interview Prep AI, a private-beta application that helps users analyze resumes, job descriptions, candidate fit, and interview preparation.

2. Scope of this policy

This Privacy Policy covers personal information we process when you:

visit the Verrazzi website or legal pages;
join a waitlist, request access, or contact us;
create or use an Interview Prep AI account;
sign in using email/password or Google sign-in;
upload, paste, save, or analyze resumes, job descriptions, candidate batches, or related documents;
receive transactional emails from us; or
interact with our tools, forms, and stored workspace history.

3. The information we collect

3.1 Information you provide directly

Depending on how you use the Services, we may collect:

name, email address, and company information;
account credentials, including password-based login details if you create an email/password account;
waitlist and beta-access request details, including your interest type and notes you submit;
resumes, CVs, job descriptions, hiring briefs, and candidate-batch content you paste or upload;
candidate names and candidate email addresses entered into employer workflows;
messages or support requests you send us; and
other information you choose to submit through forms or within the app.

3.2 Files and document content

Interview Prep AI allows users to paste text and, in some cases, upload source files so the original content can be extracted, stored, and analyzed. Those files and their extracted text may include employment history, education history, certifications, work samples, hiring requirements, compensation references, and other information included in the source documents.

3.3 Authentication and profile information

If you sign in with Google, we receive account information necessary to authenticate you and create or maintain your app profile, such as your email address and basic profile identity data made available through the authentication flow.

3.4 Information collected automatically

We may automatically collect technical and usage information such as:

IP address and approximate location inferred from IP;
browser, device, and operating system information;
pages viewed, timestamps, referring URLs, and general usage activity;
session, login, and security-related events; and
service logs needed for debugging, security, reliability, and abuse prevention.

3.5 Information from third parties

We also receive limited information from third-party service providers we use to operate the Services, including:

authentication data from Google sign-in;
email delivery metadata from transactional email providers;
hosting, storage, database, and authentication records from infrastructure providers; and
document extraction or model-processing responses from AI or LLM infrastructure we configure.

4. How we use personal information

We may use personal information to:

provide, operate, maintain, and secure the Services;
create and manage accounts, sign-in sessions, and beta access controls;
store and process resumes, job descriptions, candidate batches, and related workspace data;
generate analysis outputs, fit scoring, interview questions, and other AI-assisted results;
extract text from uploaded files and normalize document content;
send transactional emails, including beta waitlist alerts and approval notices;
respond to support requests and user communications;
monitor usage limits, detect abuse, and protect platform integrity;
improve product quality, reliability, and feature design; and
comply with legal obligations and enforce our terms and policies.

5. Legal bases for processing

Depending on your location, we process personal information under one or more of the following legal bases:

Contractual necessity, when processing is needed to provide the Services you request;
Legitimate interests, such as product security, fraud prevention, analytics, internal improvement, and support;
Consent, where required or where you voluntarily submit information for optional purposes; and
Legal obligation, when we need to comply with law, regulation, court order, or lawful request.

6. AI and automated processing

Some Verrazzi features use AI or LLM-based systems to process resumes, job descriptions, hiring requirements, candidate batches, extracted document text, and related prompts. This may include scoring, semantic matching, question generation, structured extraction, and content summarization.

At this time, OpenAI is the primary AI provider used for production AI processing in Interview Prep AI. We may use OpenAI to process prompts, extracted document text, resumes, job descriptions, and related structured analysis inputs and outputs needed to provide the Service.

You are responsible for reviewing AI outputs before relying on them. AI outputs may be incomplete, inaccurate, or context-dependent.

7. Cookies and similar technologies

We may use cookies or similar technologies that are necessary for session handling, authentication continuity, security, and core site functionality. We may also use technical storage mechanisms through our app and infrastructure stack to keep users signed in and support SSR/auth flows.

We also use analytics technologies, which may include Google Analytics and PostHog, to understand product usage, measure performance, improve user experience, and support product and business decisions.

8. When we share information

We may share personal information with service providers that help us operate the Services, including providers for:

hosting and deployment;
database, authentication, and storage;
transactional email delivery;
analytics and product usage measurement;
document extraction and AI/LLM processing;
security, infrastructure, and debugging support; and
professional, legal, or compliance support when reasonably necessary.

We may also disclose information if required by law, to protect rights or safety, to investigate abuse or fraud, or in connection with a merger, acquisition, financing, restructuring, or sale of business assets.

We do not sell personal information for money. We also do not claim not to share information at all; service-provider sharing is part of operating the Services.

9. Current provider categories

Based on the current implementation, our stack may involve provider categories such as:

website/app hosting providers;
database, auth, and storage providers;
transactional email providers;
analytics providers, including Google Analytics and PostHog;
AI and document-processing providers, including OpenAI;
OAuth identity providers; and
content and CMS tooling for the public site.

10. Data retention

We retain personal information for as long as reasonably necessary to provide the Services, maintain workspace history, manage beta access, comply with legal obligations, resolve disputes, and enforce agreements.

Retention periods may vary depending on the type of data. For example, account records, uploaded files, extracted text, saved analyses, usage logs, and waitlist/admin records may be retained for different periods based on operational need and legal risk.

We do not promise a single universal retention period for all data categories. When information is no longer needed, we may delete it, anonymize it, or securely isolate it in backups until deletion is practical.

11. International transfers

Our providers and systems may process or store information in the United States and potentially other countries. If you access the Services from outside the United States, you understand that your information may be transferred to countries with different data protection laws than those in your home jurisdiction.

12. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect personal information. Examples may include authentication controls, access restrictions, secure hosting practices, and provider security features.

No system is perfectly secure, and we cannot guarantee absolute security of personal information.

13. Sensitive information

We do not intentionally request highly sensitive categories of personal information unless they are included by users in uploaded or pasted documents. Because users may upload resumes, job descriptions, and hiring documents, some submitted content could contain sensitive or regulated information depending on the source material.

Please avoid uploading unnecessary sensitive personal information.

14. Children

Our Services are not intended for children under 18, and we do not knowingly collect personal information from children under 18. If you believe a child has provided us personal information, contact us at support@verrazzi.com.

15. Your privacy rights

Depending on where you live, you may have rights such as the right to:

know whether we process your personal information;
request access to personal information we hold about you;
request correction of inaccurate information;
request deletion of certain information;
request a copy of certain information you provided;
object to certain processing or request restrictions;
withdraw consent where processing relies on consent; and
appeal certain privacy-rights decisions, where applicable.

16. How to exercise privacy rights

To exercise a privacy request, contact us at support@verrazzi.com. We may need to verify your identity before completing your request.

If you are an Interview Prep AI user, please include the email address tied to your account and enough detail for us to locate the relevant records.

17. U.S. state privacy disclosures

Residents of certain U.S. states may have additional rights under applicable privacy laws. We process information in ways described throughout this Policy, including account data, contact data, document content, technical data, and service-use information.

We do not state that every category in every statutory table is collected or not collected unless that statement is true. The prior Termly draft contained inconsistencies; this version is intended to reflect actual implementation more accurately.

18. Do Not Track

Some browsers offer a "Do Not Track" setting. Because there is no universally accepted standard for how to interpret those signals, we do not currently commit here to a specific DNT-response behavior.

19. Changes to this Privacy Policy

We may update this Privacy Policy from time to time. If we do, we will update the "Last updated" date above. Your continued use of the Services after an update means the revised Privacy Policy will apply going forward.

1. Informational and Educational Use Only

Verrazzi provides informational, educational, and workflow-support tools. Nothing on the Services is a promise of outcomes or a substitute for your own judgment.

2. No Professional Advice

The Services do not provide legal, medical, mental health, financial, accounting, recruiting, hiring, HR, or career-placement advice.

Any decisions you make based on the Services are your responsibility.

3. AI Output Disclaimer

Interview Prep AI and related features may generate scores, summaries, suggestions, match assessments, interview questions, rewrite ideas, and other outputs using automated systems.

Those outputs may be incorrect, incomplete, stale, biased, oversimplified, or not suitable for your specific situation.

4. No Employment Guarantee

Verrazzi does not guarantee that use of the Services will lead to interviews, callbacks, job offers, hires, promotions, better applicant ranking, improved recruiting performance, or any other employment-related result.

5. User Responsibility

You are responsible for reviewing all uploaded content, generated outputs, and recommendations before using, sharing, or relying on them.

You are also responsible for making sure you have the right to use and submit any documents or information you upload.

6. Third-Party Services and Links

The Services may rely on or link to third-party tools, providers, platforms, or websites. We do not control those third parties and are not responsible for their content, availability, or practices.

7. Availability and Beta Limitations

Some features are beta features. They may change, break, be removed, or behave unpredictably. We do not guarantee uptime, continuity, compatibility, or retention of any specific feature set.

8. As-Is Disclaimer

The Services are provided 'as is' and 'as available' without warranties of any kind, to the fullest extent permitted by law.

EULA

End User License Agreement (EULA)

This End User License Agreement governs your use of Verrazzi software, including the Interview Prep AI application and related software components made available by Verrazzi LLC.

1. License Grant

Subject to your compliance with this Agreement, Verrazzi grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the software solely for its intended purpose.

2. Ownership

The software is licensed, not sold. Verrazzi and its licensors retain all right, title, and interest in the software and related intellectual property.

3. Permitted Use

You may use the software to access authorized Verrazzi features, including account-based interview-preparation and candidate-analysis workflows, subject to any plan, beta, admin, or usage restrictions we impose.

4. Restrictions

You may not:

Copy, reproduce, distribute, or resell the software except as expressly allowed
Modify, reverse engineer, decompile, or attempt to extract source code
Circumvent access restrictions, quotas, security controls, or beta gates
Use the software to build or support a competing service
Use the software for unlawful, harmful, fraudulent, or abusive purposes

5. User Content and Processing

The software may allow you to upload, store, and process resumes, job descriptions, candidate data, and other materials. You grant Verrazzi the limited rights necessary to host, process, analyze, and transmit that content for service operation and improvement.

6. AI Processing

The software may use OpenAI and related infrastructure to process inputs and generate outputs. Generated outputs may be inaccurate or incomplete, and you remain responsible for how you use them.

7. Suspension and Termination

Verrazzi may suspend or terminate your license and access at any time if you violate this Agreement, misuse the software, create risk, or if the product or beta program changes.

8. No Warranties

The software is provided 'as is' and 'as available' without warranties of any kind, express or implied, to the fullest extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, Verrazzi will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of data, profits, revenue, or business opportunity arising out of or related to use of the software.

10. Governing Law
